Stockholder Information: Exchanging FTD Group, Inc. Shares for Cash and United Online Shares

In connection with the acquisition, FTD stockholders immediately prior to the effective time of the transaction are entitled to receive $10.15 in cash and 0.4087 of a share of United Online common stock for each share of FTD Group, Inc. common stock owned at such time. Computershare Trust Company, N.A. (“Computershare”) has been appointed as the paying agent to process the exchange of FTD stock certificates for cash and United Online stock. Computershare is mailing to each holder of record of FTD Group, Inc. common stock immediately prior to the effective time of the transaction materials that will instruct stockholders how to surrender their shares of FTD Group, Inc. common stock for cash and United Online common stock.
